ROLE OVERVIEW
We are looking for a sharp, motivated lawyer with 2–3 years of post-qualification experience. The role spans SEBI and IFSCA regulatory compliance, investor documentation, debt and equity transaction support, and general in-house advisory. The successful candidate will work closely with the Head of Legal and the broader investment team and will have significant responsibility from day one.
KEY RESPONSIBILITIES
1. Investor Management & Fund Documentation
- Draft, review and manage execution of contribution agreements, side letters, investor questionnaires, documentation and transfer/assignment documents across all fund structures.
- Maintain a current investor documentation tracker; coordinate with investor relations and operations teams on closing processes.
- Handle day-to-day investor legal queries within agreed turnaround timelines.
- Support PPM updates, fund rules amendments and constitutional document revisions as and when required.
3. Debt & Equity Transactions
- Draft and review debt transaction documents: term sheets, debenture trust deeds and ancillary agreements (NCDs/CCDs), loan agreements, security documents (pledge of shares, hypothecation, mortgage, corporate guarantees), inter-creditor agreements and monitoring covenants.
- Draft and review equity investment documents: term sheets, share subscription agreements (SSAs), shareholders agreements (SHAs), board and shareholder resolutions and closing checklists.
- Coordinate with portfolio companies, co-investors and external counsel on deal execution and closing; manage closing checklists and conditions precedent.
- Maintain transaction trackers and post-closing documentation records.
4. General Legal & Corporate Support
- Review and negotiate vendor contracts, NDAs, MOUs, service agreements and technology/SaaS agreements.
- Assist the Head of Legal on advisory matters, board / committee papers and ad hoc internal queries.
- Support data privacy compliance: maintain data processing agreements, assist with DPDP Act 2023 implementation and vendor privacy assessments.
- Support employment documentation: offer letters, employment contracts, HR policies, ESOP grant documents.
QUALIFICATIONS & EXPERIENCE
- LLB / LLM from a recognized institution.
- 2–3 years post-qualification experience at a reputed law firm (Tier 1 / Tier 2) and/or in-house legal team in the financial services sector.
- Prior exposure to SEBI AIF regulations, fund documentation or financial sector compliance is strongly preferred.
- Hands-on experience drafting and reviewing debt or equity transaction documents.
- Exposure to investor management / fund subscription documentation is a plus.
