ABOUT NOVISTRA CAPITAL
Novistra Capital is a boutique cross-border M&A and private equity advisory firm with offices in New Delhi, Bengaluru, Dubai, London, and New York. The firm advises founders, promoters, and institutional investors on sell-side and buy-side transactions, capital raises, and strategic partnerships across six sector verticals: Technology and Services, Financial Institutions, Education, Healthcare, Media and Events, and Hospitality.
THE ROLE
The Legal Analyst supports the firm's legal, compliance, and contract lifecycle functions across its four operating entities across multiple jurisdictions, and support every mandate, from engagement terms and counterparty screening through to regulatory filings and fee recovery.
The role spans contract drafting and review, compliance and governance tracking, structured legal research, and coordination with external counsel.
KEY RESPONSIBILITIES
Contract Lifecycle Management
- Maintain the dashboard and contract tracker: new agreements, status, key dates, renewals, termination windows, and fee triggers
- Prepare first-draft agreements from approved templates, including NDAs, engagement and mandate letters, MoUs, and advisory agreements
- Run first-pass reviews of counterparty drafts, classifying each deviation by position and flagging items for escalation
- Prepare clean comparison tables and redline summaries for the team
Compliance and Governance
- Maintain the entity-level compliance calendar covering filings, renewals, licences, and regulatory deadlines across jurisdictions
- Support KYC, conflicts, and counterparty screening checks
- Track receivables and fee-recovery matters from a legal standpoint, and prepare the factual chronology for escalation
Research and Policy Support
- Conduct structured legal research across UK, US, UAE, and Indian law on defined questions, delivering short memos for team consumption
- Monitor regulatory and legislative developments relevant to cross-border advisory and education transactions, and summarise implications for the team
- Contribute to policy development, playbook updates, template harmonisation, and internal guidance notes
External Counsel Interface
- Prepare instruction packs and track deliverables from external counsel
- Maintain a log of external counsel advice, costs, and open items
