Job Description

Law Team Member - Specialized Teams

  1. Qualification:

To be eligible to apply for a position at Law Department of Axis Bank, the candidate, at a minimum, is required to be qualified to be a lawyer i.e. the candidate must have a Law Degree (i.e. LL.B. or equivalent) recognized by the Bar Council of India, from a university/ college in India. Candidate shall also possess appropriate Post Qualification Experience, as may be required, as per the grade in which the candidate is to be considered.

  1. Key Responsibilities:

  1. Providing support and guidance to all department on the legal questions on matters relating to credit, retail, wholesale, default, foreclosure, collections, premises, outsourcing contracts, software contracts and other questions relating to banking, as may be referred by the branches and other departments.

  1. Providing legal opinions under various laws, rules and regulations relating to the Bank's business matters, including banking laws, RBI Regulations, FEMA, companies law, business laws, criminal laws, civil laws etc.

  1. Handling documentation related matters and advising the branches and other offices of the Bank in various documentation related issues and drafting the necessary documents, wherever standard ones are not available, in accordance with the business requirements.

  1. Advising the relevant business/operations teams on matters relating to the Insolvency and Bankruptcy Code, 2016, SARFAESI Act, structured finance, capital market transactions (equity and debt), M&A, private equity, IPR etc.

  1. Managing serious and complex litigation and serving as a liaison to external counsel litigating the matter.

  1. Drafting of non-standard documents on case-to-case basis and examination of standard documents for modifications being suggested by clients.

  1. Negotiate simple and complex agreements with the clients on conference calls and emails, and serving as a liaison to outside counsel handling any matter. Advising internal stakeholders on the risk associated with the clauses in the agreements and the impact of those clauses on the Bank.

  1. Serving as the primary legal support for branches, business units and other offices of the Bank and providing advice and guidance in regard to day to day matters such as account documentation, cheque processing and wrongful payment issues and other operational issues related to banking, as may be referred by the branches.

  1. Advising on legal issues relating to new product features and all marketing efforts related to promotion of these products and also assisting in developing policies and procedures compliant with applicable state and central laws.

  1. Reviewing and advising on vendor and outsourcing agreements related to Bank's business operations. Reviewing and advising on vendor contracts to the related to Bank's business operations and also negotiating standard service provider agreements/vendor agreements applicable for Bank's third-party vendors arrangements for the services covered under RBI outsourcing guidelines including RBI IT outsourcing guidelines.

  1. Drafting, reviewing, negotiating the standard service provider agreements/vendor agreements/ SLAs as required.

  1. Drafting, reviewing, negotiating the standard business correspondent/business facilitator agreements, connector agreements, DSA agreements for the internal business departments in respect of third-party vendors appointed as business correspondent/business facilitator under the RBI Business Correspondent guidelines and RBI outsourcing guidelines. Coordinating with Bank's internal business units and departments for arrangements with third-party vendors and DSAs in respect of financial and IT outsourcing services under RBI outsourcing guidelines.

  1. Drafting, reviewing, negotiating the standard service provider agreements/vendor agreements in respect of third-party arrangements for digital lending with LSP/DLAs or Fintech being engaged under the RBI Digital Lending guidelines.

  1. Advising the internal Business Units and Department including the Compliance, Risk, IT on the aspects of interpretation of regulatory guidelines to help and support them for compliance of RBI guidelines including RBI outsourcing guidelines, RBI IT outsourcing guidelines, RBI Business Correspondent guidelines, RBI Digital Lending guidelines, etc

  1. Serving as primary legal support for marketing, in the review of vendor agreements and working with outside counsel in the case of celebrity and sports team endorsement agreements.

  1. Advising on premises related matters and drafting and vetting of the lease, leave and license agreements, Memorandum of Understanding, ATM agreements etc. Drafting deeds, agreements, bonds, notices etc.
