Job Summary- We are seeking a highly motivated Investment Banking Associate to join our ECM & Valuations team. The role involves end-to-end execution of mandates including IPOs, QIPs, Rights Issues, Open Offers, Buybacks, Delistings, and Corporate Restructuring, along with performing complex valuation assignments and financial due diligence. The incumbent will collaborate closely with the Director ECM and senior management on transaction execution, client management, and strategic initiatives

Key Responsibilities

1. Transaction Management:

  • Manage end-to-end processes of ECM deal sourcing (IPOs, QIPs, Rights Issues, Buybacks, Open Offers, and Delistings), ECM transaction execution, ensuring thorough analysis and strategic decision-making.
  • Participate in investment activities, contributing to the identification, evaluation and execution of potential opportunities.
  • Assist in the execution of investment banking transactions, including ECM deals, IPOs, M&A, debt and equity financing, and restructurings.
  • Coordinate with clients, legal teams, accountants, and other parties to ensure timely delivery and successful closure of deals.
  • Prepare and review financial models (IPO Model, Merger Model, LBO Model, forecasting Model, DCF, precedent transaction, comparable companies, etc.) to support transaction valuations and decision-making.
  • Prepare and review presentation materials, such as pitch books, teasers, information memorandums (IMs), and management presentations.

2. Client Interaction:

  • Liaise with clients, regulatory bodies, legal advisors, and merchant banking teams.
  • Support senior bankers in client communication and relationship management.
  • Present financial analysis and strategic recommendations to clients.
  • Assist in managing client expectations, preparing for meetings, and addressing client queries.

3. Valuations, Financial Analysis and Modelling:

  • Build and update complex financial models for valuation purposes (e.g., IPO, LBO, DCF, merger modelling). Conduct market research and competitive analysis to support deal origination, deal strategy and identify trends.
  • Conduct business, regulatory, transaction, and ESOP valuations, along with valuation of goodwill and intangible assets.
  • Perform restructuring and financial statement analysis to assess deal feasibility and value impact.
  • Prepare detailed valuation reports compliant with SEBI, FEMA, and Income Tax regulations.
  • Coordinate with internal and external stakeholders for due diligence and data validation.

4. Due Diligence:

  • Lead or assist in the due diligence process by reviewing financial data, identifying potential risks, and helping identify issues to address.
  • Coordinate with internal teams and external advisors to facilitate due diligence activities.

5. Team Leadership and Supervision:

  • Supervise and mentor junior team members (analysts), providing guidance on financial modelling, research, and client-facing tasks.
  • Review the work and ensure accuracy, and provide feedback for improvement.

6. Document Preparation:

  • Draft and review confidential documents such as financial reports, pitch books, and client presentations.
  • Support drafting and review of DRHPs and other regulatory documents.
  • Ensure all documents comply with legal and regulatory requirements.

Skills

  1. Analytical Skills: Strong ability to analyse financial statements, build models, and interpret financial data to make strategic recommendations.
  2. Communication Skills: Ability to articulate complex financial concepts clearly and confidently in presentations and client interactions.
  3. Attention to Detail: High level of precision required when dealing with financial data, documents, and client communications.
  4. Leadership Skills: Ability to manage teams, delegate tasks, and ensure quality control across projects.
  5. Work Ethic & Time Management: Associates often work long hours, so the ability to prioritize tasks and work efficiently under pressure is essential.

Qualifications & Requirements

  1. Experience: 36 years of hands-on experience in Equity Capital Markets, Merchant Banking, and Valuation Services with transaction execution exposure.
  2. Education: CA / CFA / MBA (Finance) / CS; Dual qualification preferred.
  3. Regulatory Knowledge: Well-versed with SEBI, FEMA, and Income Tax regulations.
  4. Technical Skills: Advanced proficiency in Excel, PowerPoint, and valuation tools; familiarity with Bloomberg, Capital IQ, Tracxn, etc.
  5. Soft Skills: Strong analytical ability, precision, and problem-solving skills; excellent written and verbal communication; ability to perform under tight deadlines
