1. Role Objective

The Independent Director will provide unbiased, strategic guidance to the Board of Directors, ensuring high standards of corporate governance, financial integrity, and ethical conduct. Specifically, for the Solar Sales focus, the appointee will offer expert insights into market expansion, dealership growth, and customer acquisition strategies to help the company achieve its goal of 700,000 installations by 2027.

2. Key Responsibilities
  • Strategic Oversight: Advise on the company's long-term sales strategy, including franchise/dealer network expansion and entry into new geographical markets.
  • Corporate Governance: Ensure compliance with the Companies Act, 2013 (Schedule IV) and other regulatory frameworks relevant to the renewable energy sector.
  • Risk Management: Evaluate and monitor risks associated with large-scale EPC projects, solar financing models, and market volatility.
  • Performance Evaluation: Scrutinize the performance of the management team in meeting agreed-upon sales targets and operational goals.
  • Conflict Resolution: Act as a mediator to balance the interests of all stakeholders, particularly minority shareholders and employees.
  • Vigil Mechanism: Ensure the integrity of financial information and the effectiveness of internal controls and risk management systems.
3. Competencies for Solar Sales & Growth

While the role is for an Independent Director, the company seeks a profile that can specifically add value to their Solar Sales engine:

  • Market Insight: Deep understanding of the Indian solar ecosystem, including government subsidies (PM-Surya Ghar), net metering policies, and consumer behavior.
  • Distribution Expertise: Experience in building or overseeing dealer/distributor networks in the power or consumer durables sector.
  • Sales Strategy: Ability to critique and improve B2B (Industrial) and B2C (Residential) sales funnels and digital marketing initiatives.
4. Qualifications & Eligibility
  • Education: Bachelor's/Master's degree in Business, Finance, Law, or Renewable Energy Engineering.
  • Experience: 15+ years of professional experience, with significant time spent in leadership roles or on boards of reputable companies.
  • IICA Registration: Must be registered with the Independent Director's Databank (maintained by IICA) and have passed/exempted from the proficiency test.
  • Independence: Must meet the criteria of independence as defined under Section 149(6) of the Companies Act, 2013 (no pecuniary relationship with the company or promoters).
5. Terms of Appointment
  • Term: Up to 5 consecutive years (subject to shareholder approval).
  • Remuneration: Sitting fees for Board and Committee meetings and reimbursement of expenses incurred for attending meetings.
  • Time Commitment: Participation in quarterly Board meetings and relevant Committee meetings (Audit, Nomination, etc.).
