looking for an experienced In-House Legal Counsel to safeguard our business, enable growth,

and provide pragmatic legal guidance across the organization.

ABOUT THE ROLE

We are looking for a commercially minded In-House Legal Counsel who thrives in a fast-paced

startup environment. This role goes beyond reviewing contracts; it requires someone who can

anticipate legal risks, simplify complex legal challenges, and partner with business teams to

enable faster, compliant decision-making.

The ideal candidate should possess strong expertise in drafting, reviewing, negotiating, and

managing commercial contracts while proactively identifying legal complications and providing

practical business solutions.

KEY RESPONSIBILITIES

Commercial Contracts

● Draft, review, negotiate, and execute a wide range of commercial agreements, including:

- Customer and Enterprise Agreements

- Vendor & Procurement Contracts

- Partnership & Channel Agreements

- Master Service Agreements (MSAs)

- Statements of Work (SOWs)

- Non-Disclosure Agreements (NDAs)

- Employment and Consultant Agreements

- Data Processing Agreements (DPAs)

● Ensure contractual terms align with business objectives while protecting the organization's legal interests.

● Create standardized contract templates and playbooks to improve turnaround time.

Legal Advisory

● Act as a trusted legal advisor to leadership and cross-functional teams.

● Provide practical, solution-oriented legal advice on day-to-day business operations.

● Assess legal implications of new products, partnerships, and strategic initiatives.

● Simplify legal complexities into actionable business recommendations.

Risk Management

● Identify legal, commercial, and operational risks early in business discussions.

● Recommend commercially viable alternatives to mitigate legal exposure.

● Balance legal protection with business agility.

● Develop frameworks for contract risk assessment and approvals.

Regulatory & Compliance

● Ensure compliance with applicable Indian laws and regulations.

● Advise on legal obligations relating to insurance, healthcare, technology, data privacy, and employment.

● Monitor changes in regulatory requirements and implement necessary updates.

● Support internal compliance programs and governance initiatives.

Stakeholder Management

● Collaborate closely with Sales, Partnerships, Finance, HR, Operations, Product, and Leadership teams.

● Support high-value commercial negotiations.

● Manage relationships with external law firms when specialized legal support is required.

WHAT WE ARE LOOKING FOR

Must Have

● LL.B. / LL.M. from a recognized institution.

● 5 - 8 years of post-qualification experience as an in-house counsel or with a leading law firm handling commercial contracts.

● Strong experience in drafting and negotiating complex commercial agreements.

● Excellent understanding of Indian contract law and corporate legal practices.

● Ability to identify legal complications and provide commercially practical solutions.

● Strong negotiation and stakeholder management skills.

● Exceptional analytical, problem-solving, and communication abilities.

Preferred

● Experience working with startups, SaaS, HealthTech, InsurTech, FinTech, or technology companies.

● Familiarity with data privacy regulations and technology contracts.

● Exposure to corporate governance, compliance, and employment law.

● Experience implementing contract lifecycle management tools.
