Job Purpose:

We are seeking a Private Equity Specialist to provide compliance support for Business Development Companies (BDCs) and other registered products under the Investment Company Act of 1940 (40 Act). This role involves monitoring compliance, conducting testing, and ensuring adherence to regulatory requirements for private equity structures.

Key Responsibilities

• BDC Compliance Support for registered products, ensuring alignment with SEC and FINRA regulations.
• 40 Act Compliance Monitoring, including periodic reviews and reporting.
• Scope of Compliance Testing:

Derivatives Exposure Monitoring Track and assess derivatives positions for compliance.

Asset Coverage Ratio Ensure leverage limits meet regulatory standards.

70% Good Asset Test Validate portfolio composition against statutory requirements.

Restrictions on Investments in Financial Firms Monitor adherence to investment limitations.

Tax-Related Tests Verify compliance with tax qualification rules for regulated investment companies.

Qualifications

• Bachelor's degree in Finance, Accounting, Business Administration , or related field.
• Strong knowledge of the BDC structures, private equity operations and Investment Company Act of 1940.
• Excellent analytical, communication, and problem-solving skills.

Minimum of 3 years of experience in private equity with a proven ability to analyze, execute, and manage complex investment strategies.
