Role Overview

The Head – M&A will own inorganic growth agenda — identifying and evaluating acquisition targets, leading transaction execution end-to-end, and driving post-merger integration. The role works directly with the Founder, Board, legal advisors, and investment bankers, and requires a hands-on leader who is equally comfortable originating deals and closing them.

Key Responsibilities

  • Develop and execute the Company's M&A and inorganic growth strategy — identifying and prioritising acquisition, merger, investment, and strategic partnership opportunities in Technology, Cybersecurity, AI, Cloud, and Digital Transformation sectors.
  • Build and manage an active pipeline of acquisition targets across India and international markets — originating opportunities through direct outreach, banker relationships, and sector networks.
  • Lead end-to-end transaction execution including financial modelling, company valuation, commercial assessment, due diligence, deal structuring, term sheet negotiation, documentation, and closure.
  • Conduct and coordinate comprehensive due diligence across financial, commercial, operational, legal, tax, HR, and technology dimensions — working with internal teams and external advisors.
  • Prepare investment proposals, business cases, valuation reports, and board-ready recommendations for the Founder and Board, presenting with clarity and commercial rigour.
  • Build and maintain relationships with founders, promoters, investment bankers, transaction advisors, private equity firms, and venture capital firms to maintain deal flow and market access.
  • Drive post-merger integration planning — defining integration roadmaps, tracking synergy realisation, and ensuring smooth operational and cultural integration of acquired entities.
  • Monitor industry trends, competitor M&A activity, valuation benchmarks, and emerging acquisition opportunities in the cybersecurity and technology space.
  • Represent the Company in discussions with external stakeholders — bankers, legal advisors, target company management, and regulatory bodies — with appropriate authority and discretion.
  • Provide regular pipeline updates, deal status reports, and market intelligence to the Founder and senior leadership team.

What We Are Looking For

  • Chartered Accountant (CA) — mandatory. This is a non-negotiable qualification requirement for this role.
  • 12 to 18+ years of experience in M&A, corporate development, transaction advisory, investment banking, or corporate finance — with a proven track record of leading and closing transactions.
  • Prior experience with a Big Four firm (EY, Deloitte, PwC, or KPMG) in Transaction Advisory, Due Diligence, or Deals practice is highly preferred.
  • Strong command of financial modelling, company valuation methodologies (DCF, comparable companies, precedent transactions), and commercial deal structuring.
  • Experience in the Technology, IT Services, Cybersecurity, SaaS, AI, or Cloud sector — either as a dealmaker covering these sectors or as part of a corporate development team within a technology organisation.
  • Demonstrated ability to manage multiple stakeholders — founders, boards, bankers, lawyers, and external advisors — through complex, multi-party transaction processes.
