Job Description

POSITION PURPOSE

Head- Legal and Secretarial (Sr. Manager / Group Head) will be responsible for ensuring comprehensive legal and secretarial compliance across the organisation. The role serves as a strategic advisor to the Board and senior management on corporate governance, regulatory adherence, and risk management, while also overseeing transactional legal work, and dispute resolution.

Hands On Experience both In Legal & Company Secretarial work a must.

KEY ACCOUNTABILITIES

Corporate Governance & Secretarial Compliance

  • Ensure timely adherence to all secretarial and corporate compliance obligations under applicable laws including the Companies Act and other statutory frameworks.
  • Advise the Board and Management on good governance practices and compliance with Corporate Governance norms.
  • Convene, organise, and conduct Annual General Meetings (AGMs), Board meetings, and Committee meetings; prepare agendas, notices, and accurate minutes.
  • Maintain and update statutory registers, records, and filings; liaise with the Registrar of Companies (RoC) and other regulatory authorities.
  • Plan and manage Secretarial / Compliance Audits; implement audit recommendations.

Contracts & Transactional Legal Support

  • Draft, review, and negotiate a broad range of commercial contracts, like Concession Agreement, MoUs, PoAs, affidavits, NDAs, settlement agreement, service agreement, loan agreements, marketing support agreement, leave and license agreement, agreement for display of advertisements, acquisitions of advertisement property and similar other agreements.
  • Drafting & vetting of requests for proposals, and third-party contracts; identify legal risks and propose mitigation strategies.
  • Advise on transaction structuring to achieve commercial objectives while ensuring compliance with applicable laws.
  • Written representation to local and municipal authorities.

Regulatory & Business Advisory

  • Provide proactive legal guidance to business units on day-to-day operational and compliance matters.
  • Liaise with regulatory, municipal, and government authorities on behalf of the organisation.
  • Monitor legal developments and communicate relevant updates to the management team.

Litigation & Dispute Management

  • File, manage and defend suits, criminal complaints, writs and arbitration proceedings to protect and enforce the company's commercial rights and interests.
  • Brief and coordinate with external counsel, law firms, and senior advocates; vet pleadings and track proceedings, dates, and outcomes.
  • Maintain a comprehensive litigation MIS with status updates and escalation triggers.

  • Minimising legal risk exposure while enabling the business to pursue aggressive growth targets.

RECRUITMENT PROFILE

Qualification

Company Secretaryship (ACS / FCS) and Graduate in Law (LLB / LLM) from a recognised law school.

Experience

10–12 years of strong corporate legal practice, with meaningful exposure to commercial transactions, secretarial functions, and litigation management.

Preferred Background

Prior experience in corporate sector, regulated industry. In-house legal counsel experience at a listed company is preferred.

  • Familiarity with RoC filings, statutory registers, and board governance processes.
  • People leadership — ability to build, guide, and develop a high-performing legal team.
