Position Overview

The Head Legal & Company Secretary will lead end-to-end company secretarial and legal functions, ensuring full compliance with applicable laws and supporting the leadership team on governance, contracts, risk, and strategic corporate initiatives. This role reports directly to senior leadership and plays a pivotal part in shaping the company's governance framework and legal strategy.

Key Responsibilities

  • Ensure compliance with the Companies Act, 2013, FEMA, and other applicable corporate laws.
  • Manage board, committee, and shareholder meetings, including agenda preparation, circulation of notes, drafting minutes, maintaining statutory registers, and regulatory filings.
  • Prepare and review Board Reports, Directors Reports, Annual Returns, and event-based filings.
  • Ensure timely disclosures to regulators such as ROC/MCA and RBI.
  • Maintain high-quality secretarial records and support secretarial audit processes.
  • Monitor regulatory updates and advise senior management on governance trends and compliance risks.
  • Draft, review, and negotiate commercial contracts, NDAs, vendor agreements, shareholder agreements, and other legal documents.
  • Provide legal advisory support on corporate, commercial, employment, and transactional matters.
  • Coordinate with external legal counsel on litigation, opinions, and specialized matters.
  • Support corporate actions including due diligence, restructuring, M&A, and capital-related initiatives.
  • Liaise with regulatory bodies and represent the company for clarifications, filings, and approvals.
  • Work closely with senior leadership to strengthen governance frameworks and fiduciary processes.

Required Experience & Qualifications


  • Education: Qualified Company Secretary (CS) and LLB.
  • Experience: 1215 years of post-qualification experience in corporate secretarial and legal functions, preferably with exposure to listed-company compliance.
  • Leadership: Proven ability to advise senior management and collaborate across business functions on governance and compliance matters.
  • Technical Expertise: Deep knowledge of Companies Act, SEBI regulations, FEMA, and corporate governance frameworks; strong drafting, negotiation, and stakeholder management skills.
  • Soft Skills: Excellent communication, high integrity, professionalism, discretion, and the ability to thrive in a fast-paced, growing environment.
