Key Responsibilities:
Corporate & Commercial Law
- Provide legal advisory on corporate governance, Companies Act, SEBI regulations, and group policies.
- Draft, review, and negotiate complex commercial contracts, joint ventures, technology agreements, vendor/customer contracts, and strategic alliances.
- Support board and committee matters including agendas, minutes, resolutions, and disclosures.
Mergers & Acquisitions
- Lead end-to-end legal support for M&A, divestments, restructuring, and strategic investments.
- Conduct legal due diligence, risk assessment, transaction structuring, and documentation.
- Coordinate with external counsel, investment bankers, and internal stakeholders for seamless deal closure.
NCLT, Insolvency & Restructuring
- Handle NCLT matters including insolvency proceedings, oppression & mismanagement cases, and scheme approvals.
- Represent the company before NCLT/NCLAT through counsel and manage all related filings and compliances.
Arbitration & Litigation
- Manage domestic and international arbitration matters from strategy to resolution.
- Oversee civil, commercial, criminal, and regulatory litigation across courts, tribunals, and authorities.
- Appoint and manage external counsels, monitor case progress, budgets, and outcomes.
Compliance & Regulatory
- Ensure compliance with applicable laws including Companies Act, FEMA, Contract Act, labour laws, environmental laws, and industry-specific regulations.
- Oversee statutory filings, secretarial compliances, and regulatory reporting.
- Implement compliance frameworks, legal risk mitigation strategies, and internal controls.
Stakeholder & Team Management
- Act as a trusted legal advisor to business, finance, projects, and operations teams.
- Lead, mentor, and develop in-house legal resources.
- Liaise with regulators, government authorities, auditors, and external law firms.
