The Entity Management Specialist supports corporate secretary and governance activities across a global portfolio of legal entities. The role focuses on ensuring regulatory compliance, maintaining accurate corporate records, and supporting board, governance, and entity lifecycle activities from formation through dissolution in a multinational environment.
Key Responsibilities
Entity Management
- Coordinate formation, registration, restructuring, and dissolution of legal entities across multiple jurisdictions
- Prepare and file incorporation, good standing, and dissolution documentation
- Maintain accurate entity records within corporate governance and entity management systems
- Support intercompany mergers, consolidations, business transfers, and group structure simplification initiatives
Corporate Governance & Board Support
- Draft, maintain, and manage corporate resolutions, board and shareholder consents, and meeting minutes
- Support scheduling of board and committee meetings and preparation of related materials
- Track director and officer appointments, resignations, and removals, including preparation of statutory documentation
Regulatory & Compliance Filings
- Prepare and submit annual returns and statutory filings to regulatory authorities
- Manage business license and permit renewals across jurisdictions
- Monitor compliance calendars to ensure timely fulfillment of corporate obligations
Documentation & Record Management
- Maintain corporate minute books and governance records in physical and electronic formats
- Coordinate notarization, apostille, and legalization of documents when required
- Ensure corporate records comply with internal policies and legal requirements
Liaison & Transactional Support
- Act as a point of contact with registered agents, external counsel, and government authorities
- Support due diligence activities for M&A, financings, restructurings, and internal audits by providing corporate documentation
Qualifications
- Bachelor's degree required; Law degree, Paralegal certification, or ICSI qualification is an advantage
- 5 to 10 years of relevant experience in corporate governance, entity management, or legal operations
- Experience supporting multinational entities within a corporate legal department or law firm
- Proficiency with Microsoft Office and entity management platforms
