Job Description CS / Legal Manager

Position: CS / Legal Manager

Experience: Minimum 7 years

Location: PITAMPURA/SONIPAT

Qualification: Company Secretary (CS) with strong legal and compliance background

Key Responsibilities:

Company Secretarial Functions:

Manage all company secretarial activities in compliance with the Companies Act, SEBI regulations, and other statutory requirements.

Handle end-to-end process of company listing, including due diligence, documentation, coordination with merchant bankers, auditors, stock exchanges, and regulatory authorities.

Draft, review, and file all mandatory forms, returns, and documents with MCA, ROC, SEBI, Stock Exchanges, and other authorities.

Organize and manage Board Meetings, AGM/EGM, prepare agenda, notices, minutes, and maintain statutory registers.

Ensure timely compliance with corporate governance norms and listing regulations (LODR).

Legal & Compliance:

Draft, vet, and review contracts, agreements, MoUs, NDAs, vendor agreements, and other legal documents.

Provide legal advisory on corporate, commercial, and regulatory matters.

Liaise with external legal counsel, auditors, and government authorities.

Manage litigations, notices, disputes, and coordinate legal actions where required.

Ensure compliance with labor laws, tax laws (basic), secretarial standards, and internal policies.

Corporate Governance & Reporting:

Prepare compliance reports, MIS, and updates for management.

Ensure risk assessment, internal controls, and regulatory adherence across the organization.

Support management in investor relations, ESOP documentation, and disclosures as required.

Required Skills & Competencies:

Mandatory hands-on experience in listing a company (Main Board / SME).

Strong knowledge of Companies Act, SEBI regulations, LODR, and corporate laws.

Excellent drafting, communication, and stakeholder management skills.

Detail-oriented, organized, and strong problem-solving abilities.

Ability to work independently and manage compliance timelines.
