Job Description

Job Summary

  • Support the Corporate Secretarial function in ensuring compliance with statutory and regulatory requirements.
  • Assist in managing corporate governance matters and maintaining proper corporate records for the organisation and its subsidiaries.

Key Responsibilities (Scope of Work)

  • Assist in the preparation and review of board papers, resolutions, minutes of meetings, and statutory documents.
  • Ensure compliance with Companies Act, corporate governance regulations, and relevant statutory requirements.
  • Maintain and update statutory registers, records, and filings with ACRA and other regulatory authorities.
  • Liaise with internal stakeholders, external regulators, auditors, legal advisors, and company secretaries.
  • Support the organisation and coordination of Board of Directors and Committee meetings, including logistics and documentation.
  • Monitor corporate filings deadlines and ensure timely submissions.
  • Assist in incorporation of new entities, striking off, restructuring, and other corporate exercises.
  • Provide advisory support on corporate governance best practices.
  • Support execution of compliance policies and internal control procedures.
  • Handle ad hoc assignments and projects as assigned by management.

Qualifications

  • Bachelor's Degree in Law, Business Administration, Accountancy, Finance, or a related discipline.
  • Professional qualification (e.g., ICSA/CGQP or equivalent) will be an added advantage.

Experience

  • Minimum 4-6 years of relevant corporate secretarial experience.
  • Prior experience in a professional firm, listed company, or multinational corporation preferred.
  • Experience working with multiple entities and group structures is advantageous.

Skills& Competencies

  • Strong knowledge of Companies Act, corporate governance, and compliance requirements.
  • Good understanding of ACRA filings and regulatory processes.
  • Excellent written and verbal communication skills.
  • Strong organisational ability with high attention to detail.
  • Ability to manage multiple deadlines and work under pressure.
  • Proactive, independent, and able to work collaboratively in a team environment.
  • Proficient in Microsoft Office applications (Word, Excel, PowerPoint).
  • Experience with corporate secretarial software (e.g.,Viewpoint or similar) will be an advantage.
