Role Objective

We are expanding our OTT platform and original production slate. We are seeking a mid-level Legal Counsel with a proven track record in fundraising and corporate finance. You will act as the primary legal driver for capital raises, equity/debt structuring, and strategic investments, ensuring our corporate architecture is investor-ready.

Key Responsibilities

1. Fundraising & Deal Execution

· Lead the legal execution of equity funding rounds (Series A/B+), venture debt, or slate financing for productions.

· Draft, review, and negotiate term sheets, Share Subscription Agreements (SSA), Shareholders Agreements (SHA), and convertible notes.

· Manage the corporate data room and orchestrate the entire legal due diligence process for incoming investors.

2. Production & Slate Financing (Media Specific)

· Structure co-production deals, minimum guarantees (MGs), and pre-sales distribution deals used as collateral for fundraising.

· Work with banks and financial institutions on completion bonds and production debt facilities.

3. Corporate Governance & Cap Table Management

· Draft, review, and negotiate equity and debt transaction documents; prepare and review MoUs; and provide legal diligence support for corporate transactions and fundraising processes.

· Prepare board resolutions, minutes, and filings required for corporate compliance post-funding.

Candidate Profile

Experience: 3–5 years of corporate legal experience. Ideal candidates will have spent time in a Top-tier Law Firm (PE/VC practice) or an in-house role at a high-growth tech/media startup that went through rounds of funding.

· Hard Skills:

• Flawless drafting of corporate finance instruments (SSAs, SHAs, Disclosure Letters).
• Deep understanding of corporate valuation mechanics, anti-dilution provisions, and liquidation preferences.
