About the role

We are looking for a Corporate Lawyer with a minimum of 2 years of post-qualification experience to join our M&A practice in Delhi.

Key responsibilities

·      Structuring, drafting, and negotiating shareholders agreements, share purchase agreements, share subscription agreements, and related transaction documents for domestic and cross-border M&A deals.

·      Conducting legal due diligence on target companies, including review of corporate records, material contracts, litigation, and regulatory filings, and preparing detailed due diligence reports flagging key risks and red flags for clients.

·      Reviewing, drafting, and negotiating a wide range of commercial contracts, including vendor agreements, services agreements, licensing arrangements, and other transaction-related contracts.

·      Advising clients on compliance requirements under the Companies Act, 2013, including board and shareholder approvals, statutory filings, and corporate governance matters relevant to transactions.

·      Advising on FEMA and related exchange control regulations applicable to inbound and outbound investments, foreign currency instruments, and cross-border transaction structuring.

·      Coordinating with clients, counterparties, and other stakeholders (auditors, company secretaries, regulatory authorities) to progress transactions from term sheet through signing and closing.

·      Assisting with transaction structuring and providing practical, business-oriented legal advice to senior associates and partners on deal execution.

·      Keeping track of closing checklists, conditions precedent/subsequent, and post-completion compliance requirements for completed transactions.

What we're looking for

A minimum of 2 years of relevant post-qualification experience, with prior experience working at a law firm. Hands-on experience drafting shareholders agreements and share purchase agreements is required, along with a strong working knowledge of company law and FEMA. Candidates should also have experience reviewing and negotiating contracts and be comfortable managing multiple transactions independently.
