Job Summary

The Contracts Analyst will work in the Legal Department's Sales and Client Contracts Team. The analyst is responsible for supporting the Sales and Client Services departments with contract negotiations, document reviews, Legal case management and triaging, and the team with various research and analysis projects.

The Contracts Analyst will assist with TriNet customer service contract negotiations, various contract and document reviews, reviewing non-disclosure agreements of current prospective customers, assisting with case management and assignment, and resolving various issues referred to the team pertaining to TriNet or the professional employer organization (PEO) industry. The analyst may also provide support to Sales, Customer Experience, Marketing, and Client Communications teams by analyzing and providing feedback on marketing materials, RFP/RFI responses, and other internal and customer-facing documents.

The Contracts Analyst will also assist with completing various team initiatives and projects, as assigned. This position will also be responsible for assisting with management of TriNet's customer service agreement templates and associated addenda and amendment forms, as well as the associated alternate legal language libraries. The Contract Analyst will assist with managing the use of these forms by internal departments and will coordinate the change management process for updating the templates and forms.

The Contracts Analyst will be able to effectively handle and complete a variety of tasks and projects with specific timeframes and deadlines while balancing multiple opposing priorities. They will have a keen eye for detail, process improvement, and organization, and will be able to evaluate alternatives quickly. Candidates who are problem-solvers, and not just issue-spotters, are a plus.

Essential Duties/Responsibilities

  • Coordinates team initiatives and projects, as assigned.
  • Distributes information, provides input for presentations, reports, and related work for teammates as needed/requested.
  • Collaborates with teammates to provide education and guidance to the sales and client service teams on matters relating to TriNet's service contract and the PEO industry.
  • Assists with service contract negotiations and review requested changes and draft amendments to service contracts for existing and prospective customers.
  • Reviews and negotiates non-disclosure agreements, as able.
  • Assists with maintaining and coordinating the management, use, and updating of client service agreement templates, associated addenda and amendment forms, and the alternate legal language libraries.
  • Assists with reviewing and commenting on internal and external-facing documents, including client communications, RFP/RFI responses, and marketing materials.
  • Participates in responding to Sales inquiries.
  • Assists with case management to ensure appropriate case routing and assignment.
  • Works with team members to research and respond to inquiries directed to team from business colleagues related to legal requirements for PEOs, payroll, benefits, risk, and HR services.
  • Assists with miscellaneous business matters referred to team.

Qualifications


Education

  • An LL.B Degree or equivalent experience preferred

Work Experience


  • Typically 4-6 years years prior contract management or contract analyst role preferred
  • Recent college graduates with a serious interest in a career in the law, either working as a paralegal or completing law school
  • Relevant work experience in a corporate/professional environment (working in a law firm, corporate legal or contract management department)
  • Familiarity with common legal documents, contract types, key legal terms, and principles
  • Experience with contract management tools (Apttus or similar), Salesforce, and DocuSign or other e-signature application is a plus
  • PEO (Professional Employer Organization) experience is advantageous.
