Job Title: Company Secretary Position Summary
The Company Secretary is responsible for ensuring that the company complies with all statutory, regulatory, and corporate governance requirements. The role acts as a key link between the Board of Directors, shareholders, regulators, and management.
Key Responsibilities 1. Corporate Governance
- Advise the Board of Directors on corporate governance practices.
- Ensure compliance with applicable laws, regulations, and listing requirements.
- Assist in implementing governance policies and procedures.
- Maintain ethical and regulatory standards throughout the organization.

- Organize Board, committee, and shareholder meetings.
- Prepare agendas, notices, and meeting materials.

- Ensure compliance with the applicable Companies Act and other regulations.
- File statutory returns, forms, and reports with regulatory authorities.
- Maintain statutory registers and records.
- Monitor changes in laws and advise management accordingly.
- Shareholder Relations
- Manage communication with shareholders and investors.
- Coordinate Annual General Meetings (AGMs) and Extraordinary General Meetings (EGMs).
- Handle dividend-related matters and shareholder queries.
- Ensure proper maintenance of shareholding records.
- Secretarial Audit and Reporting
- Coordinate secretarial audits and compliance reviews.
- Prepare compliance certificates and reports.
- Support internal and external auditors during audits.
- Maintain documentation required for regulatory inspections.
- Corporate Records Management
- Maintain company records, licenses, and legal documents.
- Safeguard statutory books and corporate records.
