Roles And Responsibilities
Adherence to all statutory compliances under various statutes as per the Companies Act,2013, SEBI (LODR) Regulations, 2015, and all other SEBI Regulations, FEMA, and other applicable legislation.
Drive Corporate Governance norms support the Board of Director
Ensure compliance with all applicable corporate laws regulations; Evaluate the impact of changes in legal statutory regulations on current planned operations.
Timely submission of documents to regulatory authorities; resolution of any issue.
Maintain a strong compliance record as per statutory norms no penalties are levied.
Adherence of corporate affairs team to best practices, SOPs, compliance calendar etc.
Prepare circulate for board/shareholder meetings, agenda minutes.
Draft negotiate various types of corporate agreements, MOUs, LOIs, etc.
Utilize knowledge deal with MCA, SEBI, RTA, BSE/ NSE, CDSL/NSDL etc as and when required.
All Pre and Post Board/ Committee Meeting compliances in terms of Agenda Papers, Stock Exchange compliances, Public Notice, all related disclosures.
Drafting minutes of all Committee/ Board Meetings and Annual General Meetings.
Collating all reports for Annual Report printing and all Pre- and Post-Annual General Meeting compliances.
Responsibility for timely filings with Ministry of Corporate Affairs (MCA)
