Company Secretary - Leading Retail Company | Bangalore

Our client, a leading retail company, is looking to hire a Company Secretary with 6-8 years of experience to be based out of Bangalore.

Key Responsibilities

• End-to-end Companies Act compliance — ROC/MCA filings, Board/Committee/General Meetings, minutes, resolutions
• Advise leadership on governance, director appointments/resignations, and related-party transactions
• Manage FEMA compliance — FDI/ODI, FC-GPR, FC-TRS filings for cross-border transactions
• Handle RBI-related filings and regulatory reporting for group entities
• Maintain statutory registers, minute books, and records across group entities
• Manage share allotments/transfers and related documentation
• Single point of contact for auditors, regulators, and external legal counsel

Requirements

• ICSI membership - mandatory
• Bachelor's in Law/Commerce (LLB preferred)
• 6–8 years post-qualification experience, ideally across multiple group entities
• Strong grip on Companies Act, FEMA, and RBI regulations
• Hands-on with ROC/MCA filings and secretarial portals

Good to Have

• Multi-entity/group holding structure experience
• PE/investor reporting exposure
• M&A or fundraising due diligence support
