Job Summary:
We are looking for a dynamic and qualified Company Secretary with experience in commercial contracts and retail leasing to join our Legal & Compliance team. This role is ideal for a proactive legal professional who thrives in a fast-paced, consumer-focused environment. You will be responsible for ensuring corporate governance, managing statutory compliance, and supporting commercial and leasing functions across our F&B retail operations.
Key Responsibilities:
Company Secretarial:
- Ensure end-to-end compliance with the Companies Act, 2013 & RBI & FEMA related regulations.
- Manage board and shareholder meetings, including drafting agendas, investor relations, notices and minutes.
- Maintain statutory registers, records, and oversee timely MCA filings.
- Coordinate annual filings, ROC submissions, and ensure compliance with Secretarial Standards.
- Assist in drafting and maintaining group-level policies and charters.
Commercial Contracts:
- Draft, review, and negotiate a broad spectrum of commercial contracts including:
- Supply and vendor agreements
- Franchise/brand collaboration agreements
- Technology and service contracts
- Consultancy and marketing arrangements
- Partner with procurement, marketing, operations, and finance teams to support business requirements while ensuring contractual risk mitigation.
- Monitor contractual obligations, renewal dates, and performance triggers.
Retail Leasing:
- Lead legal support for leasing of retail stores/cafs across India including:
- Drafting and negotiating LOIs, lease deeds, leave & license agreements, renewals, amendments, and termination notices.
- Reviewing property title documents and coordinating with external counsel for due diligence.
- Ensuring compliance with municipal and local real estate laws and licensing requirements.
Maintain a centralized lease tracker and manage end-to-end documentation and compliance.
Candidate Profile:
- Qualified Company Secretary (ICSI); LL.B. is an added advantage
- 46 years of relevant experience, preferably in an F&B retail or multi-location consumer business
- Hands-on experience in handling commercial contracts and retail leasing
- Strong knowledge of Companies Act, contract law and real estate laws
- Excellent drafting, negotiation, and interpersonal skills
- High attention to detail, organizational ability, and a problem-solving mindset
- Ability to work independently and cross-functionally in a dynamic business environment.
