The Impact You'll Create:

As a highly diligent and experienced Company Secretary, you will ensure impeccable corporate governance and regulatory compliance within a complex, multi-regulated group. Acting as a vital link between the CS leadership, auditors, and regulatory authorities, you will uphold the highest standards of ethical conduct and transparency. Your role will be critical in maintaining trust and regulatory confidence, enabling smooth operations under stringent oversight.

How Will You Contribute:

1. Corporate Governance & Board Support

  • Preparation of Documents, review of procedural matters and assisting in organising, convening, and conducting Board of Directors meetings, Committee meetings, and General Meetings (AGM/EGM).
  • Prepare and review agendas, board papers, and minutes accurately and within statutory timelines.
  • Co-ordinating other departments for Meeting related matters.
  • Assisting Auditors (Internal and Statutory) in quarterly Audit/review in relation to CS team related matters.

2. Regulatory Compliance & Secretarial Audit

  • Ensure absolute compliance with applicable Laws on the Group Companies including Company Laws, SEBI Act, Regulations and Circulars, Stock Exchange listing agreements etc.
  • Handle stock exchange disclosures regarding material events, financial results, and insider trading compliance.
  • Prepare/Review/File all necessary statutory returns, financial statements, and corporate disclosures with regulatory authorities.
  • Draft/Maintain and update all statutory registers, Minutes books, and records (e.g., Register of Members, Directors Shareholdings).
  • Coordinate and lead the Secretarial Audit and Annual Secretarial Compliance Report process with external auditors.
  • Maintain records of ESOPs granted by the Company.
  • Overseas Companies and RBI matters

3. Shareholder & Investor Relations

  • Manage investor grievances, dividend distribution processes, and share transfers/transmissions.
  • Review claims of Shareholders for shares/dividend transferred to IEPF and other Compliance related to IEPF.
  • Oversee the performance of the Registrar and Share Transfer Agent (RTA).

4. Insider Trading & Ethics Compliance

  • Assisting the Compliance Officer for compliance of Insider Trading regulations.
  • Monitor trading windows, maintain structured digital databases (SDD), and compliance on insider trading codes of conduct.

5. Inter-Departmental Communication

  • Review of Results/Financial Statements with Secretarial point of view.
  • Review of Related Party Transactions.
  • Follow-up for quarterly/half yearly/annual Agenda items for Board Meeting and/or Filing.
  • Providing support to other department for their requirements from CS Team.

You're A Great Fit If You:

  • Are a qualified member of ICSI with 7-10 years of post-qualification experience, including at least 4 years managing secretarial compliance in a publicly listed company.
  • Possess deep, current knowledge of Listing Regulations, Insider Trading Regulations, Takeover Codes, and corporate jurisprudence.
  • Have meticulous attention to detail with flawless drafting skills for legal, secretarial, and regulatory correspondence.
  • Demonstrate integrity and discretion in handling highly confidential, price-sensitive information (UPSI) with the utmost professionalism.
  • Exhibit strong verbal and written communication skills to confidently engage with multiple stakeholders.
  • Excel at time management with the ability to prioritize and meet tight statutory deadlines efficiently.
