Role Overview
We are looking for a qualified Company Secretary with 10–15 years of post-qualification experience to join the Legal & CS team of a leading renewable energy company in Gurgaon. This is a senior individual contributor role reporting to the Head CS, with broad responsibility across board governance, statutory compliance, FEMA, and corporate advisory for a multi-entity group including listed, unlisted, and overseas subsidiaries.
Key Responsibilities
- Managing Board, Committee, and General Meetings end-to-end — agenda, resolutions, minutes, and post-meeting compliances
- Ensuring compliance under the Companies Act 2013, Secretarial Standards, and all allied Acts, Rules, and Regulations
- Handling RBI, MCA, SEBI, and Stock Exchange compliances for the company and its subsidiaries
- Preparation and e-filing of Annual Reports, Directors Reports, Corporate Governance Reports, and statutory returns
- Maintenance of statutory records and registers
- FEMA compliance including FC-GPR, FC-TRS, DI, FLA, APR, and FIFP filings; liaising on overseas subsidiary compliances
- Providing advisory inputs on dividends, share issuances, mergers, and takeovers
- Liaising with external regulators, auditors, and legal advisors
What We're Looking For
- Qualified Company Secretary (ICSI) — mandatory
- 10–15 years of relevant post-qualification experience
- Strong working knowledge of the Companies Act 2013, Secretarial Standards, FEMA, and multi-entity compliance frameworks
- Hands-on experience with FEMA filings and capital account transactions
- Excellent stakeholder management and communication skills
- High attention to detail, organisational rigour, and ability to manage multiple compliance tracks simultaneously.
