About the Role: We are looking for a seasoned Company Secretary & Legal professional with 8–10 years of experience in listed companies. The incumbent will be responsible for managing corporate governance, Board and Committee matters, SEBI and stock exchange compliances, legal advisory, and ensuring adherence to all applicable corporate laws and regulations. The role requires extensive experience in a publicly listed company environment and the ability to act as a trusted advisor to senior leadership and the Board.

Responsibilities:

Corporate Governance & Board Management

  • Manage end-to-end secretarial activities relating to the Board, Committees, AGM, and EGM.
  • Draft and circulate Board agendas, notes, resolutions, and minutes.
  • Advise the Board and senior management on corporate governance matters and regulatory developments.
  • Ensure compliance with Secretarial Standards (SS-1 & SS-2) and governance best practices.

SEBI & Stock Exchange Compliances

  • Ensure compliance with SEBI (LODR) Regulations, 2015, SEBI PIT Regulations, and other applicable securities laws.
  • Handle stock exchange filings, disclosures, corporate announcements, and periodic compliance requirements.
  • Manage insider trading compliances, structured digital database, trading window closures, and related disclosures.
  • Coordinate with Stock Exchanges, Depositories, Registrar & Share Transfer Agent (RTA), and regulatory authorities.

Corporate Secretarial & Statutory Compliance

  • Ensure compliance under the Companies Act, 2013, FEMA, and other applicable laws.
  • Manage all ROC filings, annual filings, corporate actions, and statutory records.
  • Maintain statutory registers, licenses, approvals, and secretarial documentation.
  • Monitor changes in legislation and assess their impact on the organization.

Legal Affairs

  • Review, draft, and negotiate commercial agreements, NDAs, customer contracts, vendor agreements, employment-related documents, and corporate legal documents.
  • Liaise with external legal counsels and provide legal support to business teams.
  • Support dispute management, legal notices, litigation tracking, and legal risk mitigation.
  • Provide legal guidance on corporate transactions, business initiatives, and regulatory matters.

Mergers, Acquisitions & Strategic Transactions

  • Support M&A transactions, due diligence exercises, restructuring, and corporate initiatives.
  • Coordinate with internal and external stakeholders for transaction-related compliances and documentation.

Compliance & Risk Management

  • Develop and strengthen the compliance framework across the organization.
  • Conduct periodic compliance reviews and ensure timely closure of compliance requirements.
  • Assist in internal, statutory, secretarial, and regulatory audits.

Qualifications:

  • Qualified Company Secretary (Member of ICSI).
  • LLB degree is mandatory.
  • 8–10 years of post-qualification experience.
  • Current or prior experience working with listed companies is mandatory.
  • Strong understanding of Companies Act, 2013, SEBI Regulations, FEMA, Corporate Governance, and Securities Laws.
