Job Summary
The Company Secretary will be responsible for ensuring corporate governance, statutory compliance, and secretarial documentation across group entities. The role involves managing filings, maintaining statutory records, and coordinating with external consultants to ensure adherence to all regulatory requirements.
Key Responsibilities
- Statutory Compliance Filings
- Ensure timely compliance with Companies Act, FEMA, and other applicable regulations.
- Coordinate and manage filings with ROC and other regulatory authorities.
- Track compliance calendars and ensure no lapses.
- Secretarial Documentation
- Maintain statutory registers, records, and minutes of board and shareholder meetings.
- Draft resolutions, notices, agendas, and other corporate documents.
- Ensure proper documentation and record-keeping across all entities.
- Coordination Liaison
- Coordinate with external company secretaries, legal advisors, and consultants.
- Support internal stakeholders on compliance-related matters.
- Act as a central point for all corporate governance requirements.
- Corporate Governance
- Ensure adherence to governance standards and internal policies.
- Support board processes and ensure compliance with regulatory frameworks.
- Assist in structuring and maintaining group-level compliance practices.
Qualifications
- Qualified Company Secretary (CS) from ICSI.
Experience
- 13 years of relevant experience in secretarial and compliance roles.
- Experience in handling multi-entity structures is preferred.
