Key Responsibilities-

Company Secretary – Key Responsibilities

Secretarial & Corporate Governance

  1. Preparation and maintenance of secretarial records including Notices, Agendas, Minutes, Attendance Registers, Circular Resolutions, and Statutory Registers as per Companies Act, 2013 and applicable Secretarial Standards.
  2. Drafting and updating foundational corporate documents including MOA, AOA, Director declarations (MBP-1, DIR-8), and various policies under Companies Act, 2013 and SEBI (LODR) Regulations, 2015.
  3. End-to-end management of Board and General Meetings — drafting, circulation, filing resolutions with ROC, and post-meeting compliances.

Share Capital & Corporate Actions

  1. Managing all share-related activities including allotment, SH-4 preparation, stamp duty payment, ISIN application, and demat credit/debit corporate actions.

Financial & Regulatory Compliance

  1. Reviewing financial transactions for statutory compliance — covering Related Party Transactions, Managerial Remuneration, Borrowings, Investments, CSR, Dividend, and IEPF-related matters.

Listed Company Compliance (BSE/NSE – SEBI LODR)

  1. Timely submission of disclosures and filings on stock exchange platforms (BSE Listing Centre / NSE NEAPS) including quarterly compliance reports, shareholding patterns, and corporate governance reports.
  2. Ensuring compliance with SEBI (LODR) Regulations, 2015 — including intimation of board meeting dates, financial results, material events, and record dates within prescribed timelines.
  3. Managing insider trading compliance under SEBI (PIT) Regulations, 2015 — maintaining structured digital database, handling pre-clearance requests, and monitoring trading windows.
  4. Coordinating with RTA, depository (NSDL/CDSL), and merchant banker for investor grievance redressal, SCORES portal compliance, and IEPF transfers.
  5. Supporting half-yearly and annual Secretarial Audit (Form MR-3) and ensuring timely Secretarial Compliance Report submission under Regulation 24A of SEBI LODR.
  6. Drafting and periodic review of SEBI-mandated policies — Code of Conduct, Materiality Policy, Archival Policy, Related Party Transaction Policy, and Whistleblower Policy.
