NJ asset management is a 100% subsidiary of NJ India Invest. It's the asset management arm of the group having mutual funds business and PMS business.

Job Profile:

1. Compliance – Mutual Fund / AMC
  1. Monitor and ensure compliance with applicable SEBI, AMFI and other regulatory requirements relating to Mutual Funds and Asset Management Companies.
  2. Maintain and periodically update the compliance calendar, ensuring timely completion of regulatory and statutory compliances.
  3. Coordinate with relevant business and functional teams for implementation of regulatory
  4. Maintain appropriate documentation and records evidencing compliance.
  5. Assist in responding to regulatory queries and observations from SEBI, AMFI, auditors and other authorities.
  6. Identify potential compliance gaps and assist in implementing appropriate corrective and preventive actions.
  7. Prepare compliance reports and MIS for senior management and relevant committees.

2. Secretarial & Corporate Governance
  1. Handle day-to-day secretarial and corporate governance activities for the AMC and related entities.
  2. Assist in convening and conducting meetings of the Board of Directors, Board Committees, shareholders and other statutory committees, as applicable.
  3. Prepare and circulate notices, agendas, agenda notes, minutes and action-taken reports.
  4. Ensure timely maintenance of statutory registers, records and corporate documents.
  5. Coordinate with directors, senior management, auditors, legal advisors and other stakeholders on secretarial matters.
  6. Assist in preparation and filing of statutory forms and returns with the Registrar of Companies (ROC/MCA).
  7. Monitor compliance under the Companies Act, 2013, applicable rules and other corporate laws.
  8. Maintain records relating to Board and Committee decisions and ensure follow-up on
Key Skills & Competencies
  1. Strong understanding of the Mutual Fund industry and regulatory framework.
  2. Good knowledge of SEBI Mutual Fund Regulations, SEBI circulars, AMFI guidelines and applicable corporate laws.
  3. Strong understanding of Companies Act, 2013 and Secretarial Standards.
  4. Experience in Board/Committee meeting processes and corporate governance.
  5. Strong regulatory tracking and compliance monitoring skills.
  6. Excellent drafting, documentation and report-writing skills.
  7. Good communication and stakeholder-management skills.
  8. Strong attention to detail and ability to manage multiple deadlines.
  9. Ability to independently handle compliance and secretarial activities.

Qualification
  • Company Secretary (CS) qualification is preferred.
  • Graduation in Commerce, Law, Finance or a related discipline.
  • Additional qualifications in Law, Compliance, Finance or Risk Management will be an advantage.
Experience
  • 5–8 years of relevant experience, preferably with a Mutual Fund,
  • Candidates with a combination of Mutual Fund compliance and secretarial experience will be preferred.
