Job Description

Role & responsibilities:

  • Preparation of Agenda for the Board/Committee meetings in consultation with the MD & CEO and CFO/CCO.
  • Conducting the Board/Committee meetings and General Meetings.
  • Preparation of minutes of Board/Committees and General Meetings.
  • Communicate the decisions of the Board to the Functional Heads and provide them with necessary documentary assistance for implementation of the decisions.
  • Providing all the necessary information (including regulatory updates) to the Board of Directors on time to time.
  • Coordination with the regulators (Registrar of Companies, Reserve Bank of India and SEBI).
  • Maintaining/Updating Statutory registers and records as prescribed under Companies Act, 2013.
  • Filing the necessary documents and returns (e-forms) with Registrar of Companies/Ministry of Corporate Affairs under various provisions of Companies Act, 2013.
  • Preparation of statutory reports of the annual report, collating the information from all the stakeholders, getting printed and dispatch of the same to all the stakeholders.
  • Addressing the investors related matters.
  • Familiar with SEBI regulations and other guidelines and filing of monthly and quarterly returns/reports therein.
  • Filing of necessary reports with the Stock Exchanges and compliance with the various clauses of Listing Agreements and Listing Obligations and Disclosure Requirements.
  • Filing online Single Master Form (erstwhile FC GPR and ARF) with the RBI through FIRMS portal and co-ordination with RBI, Foreign Exchange Department/Authorised Dealers for the necessary approval for the FDI on time.
  • Filing quarterly returns/half yearly certificates with RBI with respect to FDI.
  • Filing of annual FLA returns with the RBI on FDI investments.
  • Co-ordinating with Internal Audit for the departments audit and other departments.
  • Co-ordinate with the Secretarial Auditors for completion of Secretarial Audit of the Company.
  • Co-ordinate with Statutory Auditors for the quarterly/half yearly audit and final audit.
