Role Overview
We are looking for a highly driven and detail-oriented CS Trainee under the Institute of Company Secretaries of India framework. The role offers hands-on exposure to complex corporate transactions, regulatory advisory, and governance matters, beyond routine secretarial compliance.
Key Responsibilities
1. Corporate Secretarial & Compliance
- Drafting of Board Reports, Directors Reports, Notices, and Minutes
- Handling ROC filings (e-forms) under the Companies Act, 2013
- Maintenance of statutory registers and records
- Assistance in incorporation, conversion, and restructuring of companies
2. Transaction Support & Advisory
- Assistance in Cap table Advisory
- Assisting in transactions structuring, fundraise, acquisitions, etc.
- Drafting and reviewing basic transactional documents & agreement (TS, SHA, SSA, Exit Agreements,)
- Supporting due diligence exercises (secretarial + regulatory+finance)
3. Legal & Regulatory Research
- Research on corporate law, and allied laws
- Preparing internal notes, client memos, and legal opinions (initial drafts)
4. Governance & Documentation
- Supporting implementation of corporate governance frameworks
- Assisting in drafting policies (ESOP, POSH, Data & AI Governane Framework, etc.)
- Co-ordinating with clients for compliance tracking and closures
5. Client Interaction & Execution
- Direct coordination with founders, CFOs, and legal teams
- Managing timelines and ensuring execution discipline
- Exposure to multi-stakeholder transaction environments
