Job Description

Position: Associate - Company Secretary – Corporate Affairs & Compliance Team

Experience Required: 2–3 Years (Post-Qualification)

Qualification: Qualified Company Secretary

Location: New Delhi

Compensation: As per industry standards

About the Role

We are looking for a qualified and experienced Company Secretary to manage end-to-end secretarial compliance for our clients. The ideal candidate will have strong hands-on exposure to SEBI regulations, the Companies Act, and related statutory filings, with a background in a listed company or a consulting firm servicing listed clients.

Key Responsibilities

• Ensure compliance with the Companies Act, 2013, SEBI (LODR) Regulations, and other applicable corporate laws for listed entities.

• Handle end-to-end SEBI regulatory compliances, including disclosures, insider trading regulations, and listing obligations

• Manage timely and accurate filings with BSE and NSE (board outcomes, shareholding patterns, corporate announcements, Regulation 30 disclosures, etc.)

• Handle MCA filings and ROC compliances (annual returns, forms, resolutions, charges, etc.)

• Convene and manage Board Meetings, Committee Meetings, and General Meetings – including agendas, notices, minutes, and resolutions

• Draft and maintain statutory registers, records, and documentation under the Companies Act

• Liaise with regulators, auditors, registrars, and other stakeholders (SEBI, Stock Exchanges, MCA, RTA, etc.)

• Support the Board and senior management on corporate governance, related party transactions, and disclosure requirements

• Stay updated on regulatory amendments and ensure timely implementation

• Coordinate secretarial audits and ensure adherence to Secretarial Standards

Requirements

Desired Candidate Profile

• Qualified Company Secretary with 2–3 years of post-qualification experience

• Hands-on experience with SEBI regulations, Companies Act compliances, and BSE/NSE/MCA filings

• Prior experience in a listed company or a consulting firm servicing listed clients strongly preferred

• Strong understanding of corporate governance norms and secretarial standards

• Excellent drafting, documentation, and communication skills

• Ability to independently manage compliance timelines and regulatory deadlines

• High attention to detail with strong organizational and coordination skills
