Corporate Governance & Board Support
- Manage end-to-end board, committee, and shareholder meeting processes, including scheduling, notices, agendas, minutes, and documentation.
- Ensure adherence to the Companies Act, Secretarial Standards, and all applicable governance norms.
- Maintain statutory registers, disclosures, and compliance documentation in line with regulatory requirements.
- Provide strategic inputs to the Board and senior leadership on governance matters, risks, and statutory obligations.
Listed-Company Compliance (SEBI & LODR)
- Oversee SEBI LODR compliance, periodic filings, and exchanges-related submissions.
- Manage insider-trading policy administration, UPSI controls, and related-party transaction compliance.
- Prepare and review annual report sections related to corporate governance and compliance.
- Coordinate with auditors for secretarial audits and compliance reviews.
Corporate Actions & Strategic Transactions
- Lead compliance and documentation for IPO-readiness, including due diligence, capital structure matters, and governance frameworks.
- Manage statutory processes for demergers, mergers, restructuring, and other corporate actions.
- Handle share capital changes, ESOP administration, allotments, and regulatory submissions.
Regulatory Interface & Legal Coordination
- Liaise with MCA, ROC, SEBI, stock exchanges, and other regulatory authorities as required.
- Support contract reviews, resolutions, and legal documentation in coordination with internal and external counsel.
- Ensure timely submission of all statutory filings and regulatory returns.
Compliance Systems & Processes
- Develop, implement, and maintain compliance calendars, SOPs, governance checklists, and documentation templates.
- Strengthen internal processes to ensure proactive compliance and timely reporting.
- Prepare periodic compliance reports and updates for senior management and the Board.
