Legal and CoSec Team

Globally, Jacobs legal team comprises approximately 180 professionals, including 20 team members based in India, two of whom are qualified Company Secretaries. Our India-based CoSec team also supports UK and European operations on various corporate secretarial matters.

The role offers varied and challenging work, including

  • Preparing agendas and papers for Board Meetings, Committees, and AGMs, and tracking action points
  • Convening, attending, and recording minutes of Board and Shareholder Meetings
  • Liaising with Board members, their secretaries, and other stakeholders for meeting arrangements and compliance
  • Filing statutory forms and returns on the MCA portal (e.g., DPT-3, MSME returns, project office-related forms)
  • Maintaining company statutory records
  • Managing compliance for dematerialized shares and liaising with RTA
  • Preparing Directors Reports and Annual Returns
  • Completing KYC of Directors and managing statutory requirements
  • Coordinating with regulators, auditors, banks, external Company Secretaries, and lawyers
  • Filing FEMA-related returns (FLA, FCGPR, ODI, ESOP, FC-TRS)
  • Renewing Legal Entity Identifier (LEI) numbers
  • Managing Board approvals via circular resolutions
  • Drafting and processing Power of Attorney documents
  • Ensuring compliance with POSH and CSR regulations
  • Supporting labor law compliance
  • Handling entity management through Diligent

Here's what you'll need

We are seeking a qualified Company Secretary, preferably with a law degree and 25 years of post-qualification experience, to join our Gurugram office. The ideal candidate will possess

  • Strong knowledge of Corporate Laws and Secretarial Standards
  • Proficiency in MCA filings and familiarity with entity management tools such as Diligent (or willingness to learn)
  • Ability to manage multiple tasks and meet deadlines
  • Intermediate to advanced skills in MS Office Suite
  • Excellent command of English (written and verbal)

Required Experience & Skills


  • Qualified Company Secretary with a strong academic background
  • Experience with a leading CS/law firm or a reputable in-house team
  • Ability to ensure timely compliance and identify risks
  • Strong commercial awareness and collaborative approach
  • Clear and effective communication skills
