Role:

We are looking for an experienced and qualified Company Secretary and LLB graduate. The focus of this role is on ensuring secretarial compliance, maintaining governance standards and providing assistance on commercial legal matters.

This senior role will be a part of the Secretarial Team in the corporate office in Chennai and report to the Company Secretary. The candidate should be confident, be able to articulate well and have a good command over both written and verbal communication.

Qualification and skills:

Member of the Institute of Company Secretaries of India with post qualification experience of around 12-15 years including in listed companies and NBFCs/HFCs/ Banks.

  1. Strong understanding of Indian laws and regulations, especially in the areas of Secretarial Compliance.
  2. Excellent communication, negotiation and interpersonal skills .
  3. Ability to work independently and manage multiple tasks and deadline.

Key Responsibilities:

  1. Well-versed in company law, FEMA, SEBI Regulations as applicable to equity and debt listed companies.
  2. Provide legal or secretarial support in relation to all company law matters including the incorporation of companies, reviewing and/or drafting articles of association reviewing and/or drafting shareholder/board resolutions.
  3. Drafting Annual Reports, Resolutions, Notices, Agenda, Minutes of Board, General and Committee Meetings.
  4. Assisting in Secretarial and Internal Audits.
  5. Maintenance and timely updating of Statutory Registers maintained under Companies Act, 2013.
  6. Well-versed in preparation and e-fling of forms as per the requirement of the Companies Act i.e.
  7. Annual Filing and other event-based Forms with the Ministry of Company Affairs.
  8. Maintaining all statutory records and filings under the Companies Act or other commercial laws of respective countries.
  9. Provide legal advice and support to the organization on various matters including contracts, governance and corporate law.
  10. Monitor and update the organization on legal developments and changes in laws and regulations as pertinent.
  11. Working knowledge in relation to Share transfers & transmission, dematerialization of securities, dealing with NSDL/CDSL, ESOPs.
  12. Effective co-ordination with compliance team and ensuring closure of all compliance requirements as applicable to NBFCs.
