Job Position: Company Secretary (Assistant Manager)

Company: Gera Holdings Private Limited

Job Purpose

The role is responsible for ensuring that the Company and related entities operate within the applicable legal, regulatory, and governance framework. The position involves end-to-end compliance management, board and stakeholder coordination, advisory support, and active involvement in corporate funding and transaction documentation across group entities, promoter family businesses, and an educational institution.

Job Description

1. Compliance & Regulatory Responsibilities

  • Ensure compliance with the Companies Act, 2013, FEMA, SEBI (where applicable), RBI regulations, and other applicable laws across:
  • Gera Holdings Private Limited and its group entities
  • Promoter familyowned companies / LLPs
  • Educational institution (TGS School Trust/Society compliance)
  • Monitor and implement changes in corporate, secretarial, and regulatory laws.
  • Timely filing of statutory returns, forms, and disclosures with:
  • Registrar of Companies (ROC)
  • MCA, RBI, and other regulatory authorities
  • Ensure adherence to Secretarial Standards (SS-1 & SS-2).
  • Coordinate and support statutory, secretarial, and internal audits.

2. Corporate Governance & Board Support

  • Organize and manage:
  • Board Meetings
  • Committee Meetings
  • Annual General Meetings (AGMs) and Extraordinary General Meetings (EGMs)
  • Draft notices, agendas, explanatory statements, and resolutions.
  • Prepare, record, and maintain minutes and statutory records.
  • Act as a key coordination point between:
  • Board of Directors
  • Senior Management
  • Shareholders and stakeholders

3. Group, Promoter & Institutional Compliance

  • Handle secretarial and compliance matters for:
  • Promoter family businesses and investment entities
  • Educational institution (TGS School), including:
  • Trust / Society compliances
  • Regulatory filings with education authorities
  • Governance and record maintenance
  • Ensure structured compliance reporting across entities.

4. Risk Management & Advisory Role

  • Identify legal, regulatory, and compliance risks across group operations.
  • Advise management on governance, structuring, and compliance implications of strategic decisions.
  • Support corporate restructuring activities such as:
  • Mergers / demergers
  • Acquisitions
  • Buy-back of shares
  • Slump sale and internal reorganizations

5. Documentation & Records Management

  • Maintain statutory registers, records, and filings as per law.
  • Draft, review, and manage legal and corporate documents, including:
  • Resolutions, agreements, and compliance reports
  • Ensure proper document management and confidentiality.

6. Training, Awareness & Knowledge Management

  • Provide guidance and updates to Directors and KMPs on:
  • Corporate governance
  • Compliance requirements
  • Regulatory changes
  • Stay updated on evolving corporate, securities, and funding-related regulations.

Qualifications & Skills

Qualifications

  • Qualified Company Secretary and member of ICSI (mandatory)
  • Additional qualification in Law / Finance / Business Administration preferred

Skills

  • Strong knowledge of:
  • Companies Act, FEMA, RBI, SEBI regulations
  • Corporate governance and secretarial practices
  • Exposure to corporate funding and transaction documentation
  • Experience working with debt-funded or equity-funded companies
  • Excellent drafting, organizational, and communication skills
  • High level of discretion and attention to detail
  • Proficiency in MS Office and compliance management tools

Experience

  • 25 years of relevant experience as a Company Secretary
  • Prior experience in:
  • Group companies / real estate sector (preferred)
  • Handling lenders, legal counsels, and regulators
  • Corporate funding or restructuring transactions

Willing to onboard as Company Secretary and will be signing the financials and related documents after appointment in the Company as Company Secretary.
