What You'll Do
Corporate Secretarial
- Ensure compliance with the Companies Act and applicable statutory requirements.
- Manage Board, Committee, and Shareholder meetings, including drafting agendas, circulating notices, preparing minutes, and maintaining statutory registers.
- Maintain statutory registers, records, resolutions, and company documents.
- Handle ROC/MCA filings (annual returns, financial statements, event-based filings).
- Liaise with regulators, auditors, and external consultants.
Legal & Compliance
- Draft, review, and negotiate contracts (vendor agreements, NDAs, contracts, etc.).
- Provide legal advice on business operations, risk areas, and policy adherence.
- Manage disputes, notices, and coordinate with external legal counsel.
- Monitor regulatory updates and ensure compliance with internal policies and SOPs.
Governance & Risk Management
- Implement corporate governance best practices.
- Support compliance frameworks, audits, and internal controls.
- Maintain documentation for regulatory inspections and internal audits.
Qualifications
- CS Qualification (ACS/FCS) from the Institute of Company Secretaries of India (ICSI).
- Bachelor's degree in Law (LLB); LLM is an added advantage.
- 13 years of experience in corporate secretarial and legal roles
