Responsibilities

  • Lead corporate governance across all group entities, ensuring adherence to applicable statutory, regulatory, and governance requirements.
  • Ensure end-to-end compliance with the Companies Act, SEBI regulations (where applicable), and other relevant corporate laws and regulations.
  • Independently plan, organize, and manage Board, Committee, and Shareholder meetings, including agenda preparation, documentation, minutes, and follow-up on action items.
  • Maintain all statutory registers, records, filings, and secretarial documentation in compliance with applicable laws.
  • Lead and execute corporate actions including incorporation of entities, issue and allotment of shares, rights issues, ESOP implementation, capital restructuring, and other governance-related transactions.
  • Manage FEMA-related secretarial compliances and coordinate regulatory filings pertaining to foreign investments and cross-border transactions.
  • Lead secretarial audits and coordinate with internal and external auditors to ensure timely closure of audit observations.
  • Liaise with regulatory authorities, external advisors, legal counsel, investors, shareholders, and other stakeholders on governance and compliance matters.
  • Advise senior leadership and the Board on governance best practices, regulatory developments, and compliance risks.
  • Support strategic initiatives including fundraising, due diligence, restructuring, and other corporate transactions from a secretarial and governance perspective.
  • Continuously strengthen governance frameworks, compliance processes, and internal controls across the organization.

Qualifications

  • Fellow or Associate Member of the Institute of Company Secretaries of India (ICSI) (FCS/ACS).
  • 8–10+ years of post-qualification experience as a Company Secretary, preferably in a high-growth, technology, aerospace, manufacturing, or multinational organization.
  • Strong expertise in the Companies Act, 2013, Secretarial Standards, FEMA regulations, and corporate governance frameworks.
  • Proven experience in independently managing Board, Committee, and Shareholder meetings and statutory compliances across multiple legal entities.
  • Hands-on experience in corporate actions, including issue and allotment of shares, ESOPs, capital restructuring, incorporation of entities, and related regulatory filings.
  • Experience managing secretarial audits, regulatory inspections, and interactions with government authorities and regulatory bodies.
  • Exposure to fundraising, investor due diligence, cross-border transactions, and governance support for strategic corporate initiatives is highly desirable.
  • Proficiency in MCA filings, secretarial compliance tools, and documentation management.
  • Strong drafting, communication, and stakeholder management skills with the ability to engage effectively with senior leadership, investors, regulators, and external advisors.
