Role Overview
We are seeking a qualified and experienced professional to manage corporate compliance, governance, and regulatory requirements across group companies. The role requires strong expertise in company law, regulatory filings, and coordination with internal and external stakeholders.
Key Responsibilities
1. Compliances under Companies Act, 2013
- Drafting and finalizing notices, agendas, and minutes for Committee, Board, and General Meetings
- Reviewing and finalizing Shareholders Agreements (SHA) and Share Subscription Agreements (SSA) from a Companies Act perspective
- Maintaining statutory registers and records
- Managing ISIN procurement for securities and coordinating dematerialization with investors
- Liaising with RTA, auditors, and internal teams
- Providing legal advice/opinions on company law matters
- Handling private placement and preferential allotment of securities
- Managing buy-back and bonus issue of shares
- Administering ESOPs
- Maintaining compliance trackers and ensuring timely updates to stakeholders
- Obtaining disclosures and declarations from directors
- Managing due diligence and audit requirements
- Handling alteration of charter documents (MOA/AOA)
- Filing and managing compounding applications
- Managing inter-corporate loans, bank guarantees, and overdraft-related compliance
2. Compliances under FEMA, 1999
- Assisting in filing regulatory forms (FC-GPR, FLA, FC-TRS) under RBI regulations
- Handling FEMA-related compounding applications
3. SEBI Compliances
- Ensuring compliance with SEBI regulations including ICDR, LODR, and other applicable frameworks
4. Other Regulatory Compliances
- Compliance under Insurance Regulatory and Development Authority (IRDAI) regulations
- NBFC Base Layer compliance requirements
- Any other regulatory or compliance-related responsibilities as assigned
Key Skills & Requirements
- 4–5 years of relevant experience in corporate compliance, preferably in a multi-entity or group company structure
- Strong understanding of corporate governance, legal compliance, and statutory reporting
- Ability to independently handle assignments end-to-end
- Excellent verbal and written communication skills
- Highly organized and detail-oriented with the ability to manage multiple priorities
- High integrity and ability to handle confidential information
- Adaptable and flexible in a fast-paced, dynamic (startup-like) environment
