Key Responsibilities
India Corporate Secretarial & Compliance
- Ensure end-to-end compliance under the Companies Act, 2013, MCA, ROC, and other applicable corporate regulations.
- Draft, review, and maintain Board and Committee resolutions, notices, agendas, minutes, and statutory registers.
- Handle annual, periodic, and event-based filings, including maintenance of compliance calendars.
- Independently coordinate and manage Board Meetings, Committee Meetings, and General Meetings.
- Liaise with regulators, statutory auditors, secretarial auditors, consultants, and internal business teams.
- Support and execute corporate actions such as incorporations, restructuring, share allotments/transfers, ESOP-related matters, amendments to charter documents, and filings.
APAC Corporate Secretarial & Compliance
(Malaysia, Singapore, Australia)
- Track and manage statutory filings and ongoing corporate compliance for overseas entities in consultation with external firms.
- Coordinate with local secretarial firms, consultants, and legal advisors in respective jurisdictions.
- Maintain and update corporate records, registers, filings, and documentation as per local laws.
- Monitor regulatory updates across jurisdictions and ensure timely implementation and compliance.
- Governance & Corporate Support
- Take complete ownership of secretarial, compliance, and governance deliverables.
- Maintain compliance trackers, MIS reports, and supporting documentation for audits and management reviews.
- Support corporate legal matters, governance initiatives, and internal compliance projects.
- Ensure adherence to corporate governance best practices, internal policies, and risk mitigation standards.
- Handle sensitive corporate information with the highest level of confidentiality and integrity.
Required Qualifications & Experience
Qualified Company Secretary (CS) and active member of ICSI.
- 1-2 years of post-qualification experience in a corporate environment (listed/unlisted companies, MNCs, shared services, or corporate groups).
- Strong working knowledge of Indian corporate laws, secretarial standards, and compliance frameworks.
- Hands-on corporate secretarial experience (not limited to consulting-only roles).
- Prior exposure to APAC jurisdictions (Malaysia, Singapore, Australia) is a plus.
- Experience working with multiple group entities, subsidiaries, or overseas entities is an advantage.
