Company Secretary

What you will do:

  • Manage and ensure timely completion of corporate secretarial and statutory compliances across India, Singapore, and other relevant jurisdictions.
  • Support the Company Secretary in managing compliance requirements under the Companies Act, SEBI/RBI regulations, and other applicable regulatory frameworks.
  • Prepare, review, and coordinate statutory filings, regulatory submissions, board/shareholder resolutions, and other corporate documentation.
  • Maintain and oversee statutory registers, minute books, corporate records, and other secretarial documentation.
  • Coordinate and independently manage the end-to-end process for Board, Committee, and Shareholder meetings, including agenda preparation, notices, minutes, resolutions, and post-meeting actions.
  • Assist in ensuring compliance with Shareholders Agreement (SHA) requirements, including tracking obligations and maintaining appropriate documentation.
  • Monitor changes in applicable laws, regulations, and corporate governance requirements and assess their impact on the organization.
  • Assist in developing, implementing, and maintaining corporate governance policies, processes, and compliance frameworks.
  • Coordinate with internal stakeholders, legal teams, auditors, and external advisors to ensure timely closure of compliance requirements.
  • Support regulatory inspections, audits, and other compliance-related matters as required.
  • Maintain a robust compliance calendar and proactively track upcoming statutory and regulatory obligations.

What you should have:

  • ICSI membership with a valid Membership Number.
  • 5–6 years of relevant experience in Company Secretarial practice, preferably with a listed company, financial services organization, fintech, banking, NBFC, securities, or other regulated firm.
  • Prior experience working in a regulated environment is strongly preferred/required.
  • Strong knowledge of the Companies Act, corporate governance, and applicable SEBI/RBI regulations.
  • Experience handling Board/Committee meetings, statutory filings, corporate records, and regulatory compliances independently.
  • Exposure to RBI filings and compliance requirements will be an advantage.
  • Experience working on multi-jurisdictional corporate secretarial matters, particularly India and Singapore, is preferred.
  • Strong understanding of SHA and corporate governance requirements.
  • Excellent attention to detail with strong organizational and stakeholder-management skills.
  • Ability to independently manage multiple compliance requirements and work effectively in a fast-paced environment.
  • Excellent written and verbal communication skills.
  • Proficiency in MS Office (Word, Excel, PowerPoint) and relevant corporate secretarial/compliance software.

Key requirement: We are specifically looking for candidates who have worked with a regulated organization/firm, preferably in financial services, fintech, banking, NBFC, securities, or a similar regulated sector.
