Job Description

Cairn Oil and Gas is the largest private oil and gas exploration and production company in India, accounting for more than a quarter of India's domestic crude oil production. At Cairn, we are committed to playing a lead role in the energy security of the country and geared up towards contributing half of India's crude production. In this context, we are looking for a dynamic leader for the role of Company Secretary.

The Company Secretary (CS) will serve as a key governance professional, ensuring Cairn Oil and Gas complies with statutory and regulatory requirements while enabling effective Board functioning. The role is pivotal in safeguarding transparency, accountability, and corporate integrity across the organization.

Key Responsibilities

Board and Committee Support

  • Organize and manage Board, Committee, and shareholder meetings.
  • Draft agendas, circulate papers, and record accurate minutes.
  • Advise the Board on corporate governance best practices.

Compliance and Regulatory Filings

  • Ensure timely compliance with Companies Act, SEBI, and other statutory requirements.
  • Prepare and file annual returns, statutory forms, and disclosures with regulators.
  • Maintain statutory registers and records.

Corporate Governance and Advisory

  • Act as a trusted advisor to the Board and senior leadership on governance, ethics, and compliance matters.
  • Monitor evolving laws and regulations impacting the Oil and Gas sector.
  • Support risk management and internal control frameworks.

Shareholder and Investor Interface

  • Manage shareholder communication and queries.
  • Oversee dividend distribution, share transfers, and related compliance.
  • Support Investor Relations team in ensuring alignment of disclosures.

Strategic Support

  • Partner with CFO and CHRO on governance aspects of corporate restructuring, M&A, and capital market transactions.
  • Provide guidance on ESG and sustainability reporting.

Qualifications and Experience

  • Qualified Company Secretary (Member of ICSI).
  • 8–12 years of post-qualification experience, preferably in Oil and Gas, Energy, or large listed companies.
  • Strong knowledge of Companies Act, SEBI Listing Regulations, and corporate governance frameworks.
  • Experience in managing Board processes and regulatory filings.
  • Excellent drafting, communication, and stakeholder management skills.
