Role Summary
The Company Secretary (CS) plays a pivotal role in ensuring the company's compliance with corporate laws and regulations, maintaining statutory and secretarial records, and supporting board governance. In a cable manufacturing setup, the CS is also responsible for ensuring compliance with industry-specific laws related to electrical equipment, BIS standards, manufacturing licenses, and ESG reporting.
Key Responsibility Areas:
- Board & Committee Governance: Manage board, audit, and committee meetings; prepare notices, agendas, and minutes
- Statutory & Industry Compliance: Ensure compliance with Companies Act, SEBI (if listed), Factories Act, BIS, labor and manufacturing laws
- MCA/ROC Filings & Reporting: Timely filing of MGT-7, AOC-4, PAS-6, DIR KYC, and related company returns
- Regulatory & Licensing Liaison: Coordinate with MCA, ROC, BIS, Pollution Board, Factory Inspector, and other cable-industry regulators
- Secretarial Record Management: Maintain statutory registers, shareholding records, resolutions, and licenses
- Legal & Contractual Review: Vet contracts (e.g., vendor, PPA, EPC, franchise, export/import agreements) for commercial/legal risk
- AGM/EGM & Shareholder Relations: Conduct AGMs, coordinate with shareholders, ensure timely disclosures
- Risk Advisory & Legal Opinion: Provide proactive legal guidance on EPC contracts, licensing risks, environmental laws
- IPO Issuance: Manage IPO documentation and ensure compliance with SEBI/stock exchange listing and disclosure requirements
- Communication with External Stakeholders: Liaise with banks, auditors, investors, and government bodies
