Khaitan & Khaitan is looking to onboard a dynamic and experienced Associate to join its Capital Markets team in New Delhi.

Position: Associate

Practice Area: Capital Markets

Experience: 2–4 years of PQE in capital markets transactions at a reputed law firm

Location: New Delhi

Qualification: Law degree with enrolment with the Bar Council of India. A Company Secretary (CS) qualification will be an added advantage.

Key Responsibilities:

• Advising on IPOs, Rights Issues, QIPs, OFS and other capital markets transactions.
• Conducting comprehensive legal and secretarial due diligence in connection with capital markets transactions.
• Drafting and finalising offer documents and other transaction-related documentation.
• Preparing responses to observations and queries raised by BSE, NSE, SEBI and other regulatory authorities.
• Coordinating with issuer companies, merchant bankers, auditors and other intermediaries involved in transactions.
• Advising issuer companies and merchant bankers on the Companies Act, 2013, SEBI ICDR Regulations, SEBI LODR Regulations, SEBI Insider Trading Regulations and other applicable laws.
• Drafting and reviewing material contracts and other transaction-related documents.

• Strong analytical, drafting and legal research skills.
• Excellent execution capabilities and attention to detail.
• A sound understanding of capital markets transactions and the applicable regulatory framework.
• The ability to work effectively with clients, intermediaries and other stakeholders.
