The role involves working closely with the team on a broad range of corporate advisory, regulatory and transactional matters, including corporate governance, compliance, private equity investments and M&A transactions.
Responsibilities
- Drafting, reviewing and negotiating transaction documents such as SSA, SPA, SHA, BTA, term sheets and other ancillary agreements.
- Working on Private Equity, Venture Capital and M&A transactions, primarily in the unlisted space; exposure to listed company transactions (such as open offers, delisting, etc.) will be an added advantage.
- Handling end-to-end execution and closing of transactions, including coordination with clients, counterparties and internal teams.
- Demonstrating a strong understanding of corporate laws, including the Companies Act, 2013, SEBI regulations (such as LODR and PIT Regulations) and foreign exchange laws.
- Leading and conducting legal due diligences and assisting with preparation of diligence reports.
- Effectively communicating with clients and managing transaction discussions.
- Ability to adapt to new areas of law and handle varied workstreams including advisory, drafting, negotiations and corporate litigation support where required.
Qualifications
- 24 years PQE in General Corporate / M&A practice.
- Candidates with CS + LL.B. qualification is mandatory.
- Prior experience with Tier-1 or Tier-2 law firms is desirable.
- Strong drafting, negotiation, analytical and client-management skills.
- Exposure to employment law will be considered an added advantage.
