The Assistant Manager / Deputy Manager Legal is responsible for overseeing all legal matters within the company, ensuring compliance with laws and regulations across global jurisdictions, managing corporate governance, and protecting the company's intellectual property portfolio. The ideal candidate will review commercial transactions and manage legal risks associated with corporate operations. The role requires proven leadership capabilities to guide the legal team while collaborating with cross-functional business units.
Key Roles and Responsibilities
Corporate Governance & Compliance
- Ensure compliance with all legal and regulatory requirements across domestic and international operations.
- Monitor and implement changes in laws and regulations to ensure ongoing compliance.
Contracts & Commercial Transactions
- Draft, review, and negotiate contracts including suppler and vendor agreements, customer contracts, and licensing deals.
- Implement effective contract management processes to mitigate legal risks and optimize commercial terms.
- Work closely with external counsel to manage legal aspects of commercial agreements.
Risk Management
- Proactively identify and mitigate legal risks, including intellectual property, product liability, and regulatory risks.
- Develop and implement a company-wide risk management strategy to safeguard legal interests.
Intellectual Property Protection
- Manage the company's intellectual property portfolio, including patents, trademarks, and copyrights.
- Collaborate with R&D and product development teams to ensure proprietary technologies are properly protected.
- Oversee IP disputes and filings, ensuring global protection of the company's innovations.
Authority
- Act as the primary legal authority for corporate, commercial, regulatory, compliance, IP, and litigation matters.
- Provide legal guidance to management and business teams and ensure decisions comply with applicable laws and regulations.
- Review and approve legal documents and contracts within delegated authority, and escalate material legal risks to senior management.
- Manage and coordinate external legal counsel as required.
- Establish and maintain legal policies, procedures, and compliance controls across the organization.
- Exercise independent legal judgment to protect the company's interests and minimize legal and regulatory exposure.
Job Requirements
- Bachelor's or Master's degree in Law from a reputed university.
- Bar admission required, and additional qualifications (LLM) preferred.
- Minimum of 6-9 years of legal experience.
- Experience in corporate law, contract negotiation and IP management.
- Prior experience in the technology or semiconductor sectors is preferred but not required.
- Expertise in contract negotiation, risk management, and regulatory compliance.
- Ability to manage complex legal matters in a fast-paced, global environment.
