We are looking for a Company Secretary / Secretarial Compliance professional to support the organization in ensuring effective corporate governance and compliance with applicable statutory and regulatory requirements. The role will involve handling Companies Act, SEBI, Stock Exchange, MCA/ROC and Secretarial Standards compliances, along with supporting Board and Committee processes, shareholder matters and corporate disclosures.
The ideal candidate should have strong knowledge of corporate secretarial practices, listed company compliances, regulatory filings and corporate governance, with the ability to coordinate effectively with internal and external stakeholders.
Key Responsibilities
- Assist in conducting Board Meetings, Committee Meetings and General Meetings, including preparation and drafting of agendas, notices, minutes and supporting documents.
- Ensure compliance with applicable provisions of the Companies Act, 2013, Rules and Secretarial Standards.
- Handle compliances under SEBI Listing Regulations (LODR) and other applicable SEBI regulations, including SEBI Insider Trading Regulations, SEBI ESOP Regulations and related requirements.
- Manage and coordinate stock exchange compliances and disclosures with BSE and NSE, including timely submission of statutory filings, disclosures and corporate announcements.
- Assist in shareholder-related matters, including investor queries, dividend-related matters, transfer/transmission of shares, unclaimed dividends and coordination with the Registrar & Transfer Agent.
- Assist in preparation and filing of MCA/ROC forms and statutory returns, including annual filings and event-based compliances.
- Assist with foreign company / overseas subsidiary compliances, as applicable.
- Maintain and update statutory registers, records and corporate governance documentation.
- Coordinate with internal stakeholders, auditors, legal advisors, RTA, stock exchanges and other external agencies for various secretarial and regulatory matters.
- Support preparation of Annual Report, Corporate Governance Report, Board's Report, BRSR and other statutory disclosures.
Qualification
- CS (Company Secretary) – Qualified from the Institute of Company Secretaries of India (ICSI).
- LLB / LLM or relevant additional qualification would be an advantage
Experience
- 0– 2 years of relevant experience in Company Secretarial / Secretarial Compliance / Corporate Governance functions.
- Experience working with a listed company or organization with significant SEBI and stock exchange compliance requirements would be preferred.
- Experience in managing BSE/NSE, SEBI, MCA/ROC and shareholder-related compliances will be an added advantage.
