Job Title - AM - Company Secretary

Key Responsibilities :

  • Assist in organizing and coordinating Board, Committee (Audit, NRC, CSR, etc.) and General Meetings
  • (AGM/EGM) including drafting agendas, compiling meeting packs and preparing minutes.
  • Support timely and accurate disclosures and documentation in compliance with the Companies Act, 2013 and SEBI (LODR) Regulations, 2015.
  • Ensure compliance with Board and Committee composition requirements, disclosure norms and

governance frameworks under applicable laws.

  • Prepare and assist in filing statutory returns, forms, and reports with regulatory bodies such as MCA, SEBI and stock exchanges (NSE/BSE).
  • Ensure compliance with SEBI (Prohibition of Insider Trading) Regulations, SEBI (SAST) Regulations.
  • Monitor regulatory updates and assist in implementing changes to ensure continued compliance.
  • Support the preparation and review of stock exchange filings including financial results,

corporate announcements and other statutory disclosures.

  • Assist in monitoring material events and drafting disclosures in line with Regulation 30 of SEBI (LODR).
  • Coordinate with internal and external auditors and ensure timely resolution of audit observations.
  • Contribute to drafting sections of the Annual Report, including the Corporate Governance Report,
  • Annual Report, Board Report and Notice, BRSR etc.
  • Ensure compliance with ESOP (Employee Stock Option Plan) regulations, including documentation, disclosures and timely listing of allotted shares on stock exchanges.
  • Maintain statutory registers and records as per Companies Act and Secretarial Standards (SS-1 and SS-2).
  • Maintain and update key governance documents such as policies, board charters and compliance trackers.
  • Liaise with the Registrar and Share Transfer Agent (RTA) on shareholder-related activities.
  • Any other assignment as assigned by Manager.

Qualifications and Experience:

  • Qualification: Qualified Company Secretary
  • Experience: 2–6 years of experience in secretarial function
  • Preferred: From a Listed Company
  • Good knowledge of the Companies Act, SEBI (LODR) Regulations, SEBI PIT Regulations and other

regulations.

  • Strong drafting and documentation skills for regulatory filings and governance records.
  • Excellent organizational skills and attention to detail.
  • Ability to work collaboratively in a team and manage multiple deadlines.
  • High level of integrity, confidentiality, and commitment to compliance.
  • Analytical thinking with the ability to interpret legal and regulatory provisions, assess compliance risks, and propose practical solutions.
