Regulatory Compliance and Governance
- Ensure full compliance with Companies Act, SEBI Regulations, ROC, and all applicable statutory and regulatory authorities for Public Limited Listed Companies.
- Independently schedule and conduct Board and Members meetings in line with Secretarial Standards.
- Circulate notices and agendas for Board and General Meetings and prepare draft and final minutes within defined timelines.
- Maintain statutory registers and ensure proper record-keeping and documentation.
- File timely and accurate MCA returns and ensure 100% compliance at all times.
Regulatory Liaison and Reporting
- Liaise with Stock Exchanges, MCA, RTA, Bankers, and other regulatory authorities.
- Ensure timely filing of quarterly, half-yearly, and annual compliance reports as per LODR requirements.
- Respond promptly to queries from regulators such as BSE, NSE, SEBI, and ROC.
- Prepare and file necessary forms, returns, and applications with regulatory bodies.
Corporate Actions and Audits
- Handle corporate actions, face audits, and complete due diligence processes on time.
- Ensure documentation and board materials are in line with standard checklists and updated regularly.
- Liaise with bankers for dividend-related activities and IEPF compliances including shareholder communication.
Legal Advisory and Contract Management
- Review and draft agreements with directors, employees, vendors, agents, and shareholders.
- Oversee and update legal documents regularly and ensure contract compliance.
- Provide legal risk management and advisory support to management, especially on contracts and ongoing legal cases.
- Interpret legal information and provide internal training and awareness on relevant legal updates.
Special Projects and Intellectual Property
- Manage new company formations and actions arising from restructuring programs.
- Work with trademark/legal consultants to ensure IP protection and manage lookalike infringements effectively.
Education Qualifications
CS (LLB preferred)
Behavioural Profile
- Minimum 3 years of experience in a listed company or 7 years of post-qualification work experience
- Ability to work independently without guidance
