Key Responsibilities
- Independently handle MCA/ROC and statutory compliances under the Companies Act, 2013.
- Manage Board and General Meeting compliances, including notices, agendas, minutes and resolutions.
- Prepare and file Annual Returns, Financial Statements and other applicable MCA forms and maintain statutory registers and compliance calendars.
- Draft, review and negotiate commercial agreements, including Lease/Leave & License, Franchise, Vendor, Service, NDA, MOU, LOI and Addendum agreements.
- Review contractual terms, identify legal and commercial risks and suggest appropriate amendments to safeguard the Company's interests.
- Handle and coordinate litigation, arbitration, recovery matters, consumer matters and other legal disputes with external advocates/counsels.
- Assist and coordinate in police matters, including complaints, FIR-related matters, responses to notices, investigations and liaison with advocates and concerned authorities.
- Handle and coordinate Intellectual Property Rights (IPR) matters, including trademarks, copyrights, brand protection, infringement matters, oppositions/objections and coordination with IPR consultants/attorneys.
- Draft and review legal notices, replies, undertakings, settlement documents and other legal correspondence.
- Maintain agreement records and track renewals, expiry dates, notice periods, lock-in periods and contractual obligations.
- Coordinate with auditors, consultants, advocates, landlords, franchisees, vendors, government authorities and internal departments on legal and compliance matters.
- Handle documentation relating to stamp duty, registration, notarization and execution of agreements.
- Maintain litigation, legal notice, IPR, agreement and compliance trackers and ensure timely follow-up and closure.
- Provide day-to-day legal, contractual and secretarial support to management and business teams.
- Identify and escalate significant legal, contractual and compliance risks to management.
Qualification & Experience
- Qualified Company Secretary (CS) – Mandatory
- L.L.B. – Mandatory
- Minimum 3 years of relevant experience in Company Secretarial, Corporate and Commercial Legal matters.
- Strong knowledge of Companies Act, MCA/ROC compliances and commercial contracts.
- Practical exposure to litigation, arbitration, police matters and IPR/trademark matters.
- Strong experience in drafting and reviewing commercial agreements and legal documentation.
- Experience in retail, franchise, leasing or multi-location businesses will be preferred.
- Strong drafting, analytical, negotiation, communication and coordination skills.
- Ability to independently manage multiple legal and compliance matters within defined timelines.
- Working knowledge of MCA Portal and MS Office.
