Role Description This is a full-time, on-site Assistant Company Secretary role based in Kolkata. The Assistant Company Secretary will assist in managing company law compliances, including preparation and filing of statutory forms, returns, and documents with the Registrar of Companies and other regulatory authorities. Responsibilities include drafting board and shareholder meeting notices, agendas, minutes, and resolutions, as well as maintaining statutory registers and records. The role involves supporting due diligence, assisting in incorporation and restructuring matters, and coordinating with clients and internal teams on compliance timelines and documentation. The individual will also monitor regulatory updates, help interpret relevant provisions, prepare basic reports and summaries for senior professionals, and support daily administrative tasks related to the secretarial function.

Qualifications

  • Strong knowledge of Companies Act, corporate laws, and secretarial standards, with the ability to apply them in day-to-day compliance work.
  • Proficiency in drafting notices, agendas, minutes, resolutions, and statutory documents with attention to detail and accuracy.
  • Experience or internship exposure in filing e-forms, maintaining statutory registers, and handling ROC and related regulatory compliances.
  • Solid organizational, time-management, and documentation skills to manage multiple client assignments and deadlines.
  • Effective written and verbal communication skills for coordination with clients, regulators, and internal stakeholders.
  • Proficiency with MS Office (Word, Excel, PowerPoint) and comfort working with compliance or secretarial software tools.
  • Company Secretary (CS) Executive or Professional level passed; membership or pursuit of membership of ICSI is preferred.
  • 0–3 years of relevant experience in a company secretarial or compliance role; internship experience in a CS/CA firm is an advantage.
  • Ethical, detail-oriented, and collaborative working style, with willingness to learn and adapt in a fast-paced professional environment.
