Job Summary:
We are seeking a motivated and detail-orientedAssistant Company Secretaryto join our team in Hyderabad. Reporting to the Company Secretary, the selected candidate will support compliance with corporate governance and regulatory requirements, with a particular focus on SEBI, BSE, RBI, and MCA filings for a listed company. This role provides an excellent opportunity to gain experience in high-level corporate secretarial functions and regulatory compliance.
Key Responsibilities:
- Regulatory Compliance and Filings:
- Assist the Company Secretary in ensuring compliance with the Companies Act, 2013, SEBI (LODR) Regulations, and other applicable laws and regulations.
- Prepare and file statutory returns, disclosures, and reports with SEBI, BSE, RBI, and MCA.
- Ensure timely compliance with listing obligations and disclosure requirements.
- Corporate Governance:
- Support the implementation of corporate governance best practices for a listed entity.
- Maintain statutory records, registers, and documentation as required under regulatory frameworks.
- Board and Shareholder Meetings:
- Assist in preparing agendas, notices, and minutes for board meetings, annual general meetings, and committee meetings.
- Coordinate with directors, stakeholders, and other parties to ensure smooth meeting execution and follow-ups.
- Liaison Activities:
- Act as a point of contact with regulatory authorities, stock exchanges, depositories, and external advisors.
- Assist in coordinating with auditors, legal advisors, and consultants for compliance-related matters.
- Documentation and Reporting:
- Draft resolutions, agreements, and reports for regulatory submissions.
- Assist in preparing corporate announcements, annual reports, and disclosures required for listed entities.
- Training and Development:
- Stay updated with amendments and guidelines issued by SEBI, BSE, RBI, and MCA.
- Actively participate in training sessions and contribute to process improvements.
Required Qualifications and Skills:
- Educational Background:
- Bachelors degree in Commerce, Business Administration, or Law.
- Qualified or semi-qualified Company Secretary from the Institute of Company Secretaries of India (ICSI).
- Experience:
- Candidates with 02 years of experience in secretarial work, preferably in a listed company, are encouraged to apply.
- Skills:
- Knowledge of SEBI regulations, stock exchange compliance, and RBI filings.
- Familiarity with corporate laws, governance standards, and secretarial practices.
- Proficiency in MS Office (Word, Excel, PowerPoint) and compliance tools.
- Excellent organizational, communication, and analytical skills.
